Terms of Use

These Terms of Use ("Terms") govern access to and use of the Vibe Trade wholesale ordering portal at vibetrade.co.uk ("the Site"), operated by Vibe Centre Ltd, a company registered in England and Wales under company number 5167237, with registered office at 5 Salop Street, Bolton, BL2 1DZ, United Kingdom ("Vibe Trade," "we," "us," "our"). Our VAT registration number is GB 834 9609 95.

By applying for, or using, a Vibe Trade account, you agree to be bound by these Terms.

1. Who this site is for

Vibe Trade is a business-to-business (B2B) wholesale portal. It is not intended for consumers and is not open to the general public. Access is restricted to:

  • Registered businesses (sole traders, partnerships, or limited companies) purchasing for resale or business use, and
  • Applicants who have been reviewed and approved by our trade team.

We reserve the right to refuse, suspend, or revoke access for any applicant or account holder at our sole discretion, including but not limited to cases of suspected fraud, misuse, or applications that do not appear to be genuine trading businesses.

2. Account application and approval

  • Submitting an application does not guarantee approval.
  • We aim to review applications within one working day, but this is not guaranteed.
  • You must provide accurate, current, and complete information when applying, including your registered business name, trading address, and contact details. You must promptly notify us of any changes.
  • Trade pricing, stock levels, and product availability are only visible to approved, logged-in accounts and must not be shared with third parties who do not hold an approved Vibe Trade account.
  • Accounts are for the use of the approved business only and must not be shared with, or transferred to, another business without our written consent.

3. Orders and pricing

  • All orders are subject to acceptance by us. Placing an order does not guarantee we will fulfil it — for example, if stock is unavailable or a pricing error has occurred.
  • Pricing errors: if a product is listed at an incorrect price due to a technical or human error, we reserve the right to cancel the order (in whole or in part) and refund any payment taken, even if the order has been confirmed.
  • Prices shown on the Site are exclusive of VAT unless stated otherwise. VAT is calculated and added at checkout.
  • We reserve the right to change prices at any time. The price charged will be the price displayed at the time your order is placed, not a price shown before or after.
  • A binding contract of sale is formed when we dispatch your order, not when we send an order confirmation email. An order confirmation is acknowledgement that we have received your order, not acceptance of it.

4. Payment

  • Payment is required in full at the time of order, by the payment methods shown at checkout. We do not currently offer credit accounts or payment terms; all orders are prepaid before dispatch.
  • If a payment is declined, reversed, or otherwise fails, we may cancel or suspend the related order without further notice.

5. Resale and use of products

  • Products purchased through Vibe Trade are intended for resale or professional business use by the approved trade account holder.
  • You are responsible for ensuring your resale of our products complies with all applicable law, including consumer protection and product safety law in the jurisdiction(s) you sell into.
  • Suggested RRPs shown on product pages are for guidance only and do not obligate you to sell at, above, or below that price, unless a separate written agreement between us states otherwise.
  • You must not misrepresent your relationship with Vibe Trade, Vibe, or C3 (for example, claiming to be an authorised distributor, official partner, or the manufacturer, unless this is true and agreed with us in writing).

6. Intellectual property

  • All trademarks, product names, logos, descriptions, and photography on the Site belong to us or our licensors and may not be copied, reproduced, or used without our prior written permission, except as reasonably necessary to advertise and resell the products you have purchased from us.
  • You may use standard product images and descriptions we provide for the purpose of listing and selling the products you've purchased.

7. Account suspension and termination

We may suspend or terminate your account, without notice, if:

  • You breach these Terms;
  • We reasonably suspect fraudulent, abusive, or unlawful activity on your account;
  • Payment is not received for an order;
  • Your business ceases trading or becomes insolvent; or
  • We believe continued access poses a risk to our business, our other customers, or our products' reputation.

You may close your account at any time by contacting us. Closing your account does not affect any orders already placed and does not cancel payment obligations already incurred.

8. Liability

  • Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded.
  • Subject to the above, our total liability to you arising from your use of the Site or any order, whether in contract, tort, or otherwise, is limited to the value of the order giving rise to the claim.
  • We are not liable for indirect or consequential losses, including loss of profit, loss of business, or loss of anticipated savings.

9. Force majeure

We are not liable for any delay or failure to perform our obligations where this is caused by events outside our reasonable control, including but not limited to shortages of materials, supplier failures, transport disruption, industrial action, or extreme weather.

10. Changes to these Terms

We may update these Terms from time to time. The version published on the Site at the time of your order applies to that order. Continued use of the Site after changes are published constitutes acceptance of the updated Terms.

11. Governing law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
